The domain name www.varthaali.co.in (hereinafter, the “Website”) is owned and operated by Varthaali, currently operating as a sole proprietorship with its registered office at Workflo, Hitex Bizness Square, 4th Floor, Unit No: 405–411, Jubilee Enclave Road, Hyderabad – 500081, India. All references to “Varthaali” include its future form as a private limited company, if and when incorporated.

Business Model. Varthaali operates in a hybrid model:

(i) First-Party (1P) Sales – for select products, Varthaali procures and sells directly as the seller/merchant of record; and
(ii) Marketplace (3P) Transactions – Varthaali provides an online platform that facilitates purchases between buyers and independent third-party sellers, who remain the sellers/merchants of record for their listings.
Varthaali is not engaged in direct selling, pyramid, or money-circulation schemes, and does not pay any incentive for recruitment or sign-ups.

Your use of the Website and its services and tools is governed by these Terms of Use, including policies incorporated by reference. If you transact on the Website, you will be subject to the policies applicable to such transactions. By using the Website, you agree to be bound by these Terms of Use and the applicable policies, which together form a binding agreement with Varthaali.

For the purpose of these Terms of Use, “You” or “User” means any natural or legal person who accesses, browses, or purchases on the Website with or without registering. “We”, “Us”, or “Our” refers to Varthaali, including its current and future business forms.

We reserve the right, in Our sole discretion, to change, modify, add, or remove portions of these Terms of Use at any time without prior written notice. It is Your responsibility to review these Terms of Use periodically for updates. Your continued use of the Website following the posting of changes will constitute Your acceptance of such changes.

Subject to Your compliance with these Terms of Use, We grant You a personal, non-exclusive, non-transferable, limited right to access and use the Website.

Platform for Transaction and Communication (Hybrid Model)

The Website serves as:
(a) a direct sales channel for products sold by Varthaali as the seller/merchant of record; and
(b) a facilitator for transactions between independent buyers and third-party sellers.

For transactions where Varthaali is the seller (first-party/1P sales), Varthaali is responsible for order fulfilment, shipping and applicable after-sales support in accordance with our published policies.
For transactions between buyers and third-party sellers (marketplace/3P sales), Varthaali acts solely as an online platform and is not a party to the sale contract between the buyer and the seller.

Promotions & Demo Participation. Certain promotional programmes (including any “demo participation” orders) may have specific terms regarding delivery, rewards eligibility, return/refund, or non-delivery nature; such terms will be disclosed at the point of purchase and governed by our published policies (see Returns & Refunds Policy and Demo Policy).

Varthaali Responsibility (1P Sales)

For curated and in-house offer products (e.g., “Deal of the Day”) where Varthaali is the seller/merchant of record, upon receiving a confirmed order Varthaali will:

  • arrange timely dispatch;
  • assist in cases of shipping delays caused by internal handling;
  • support replacement or return of eligible products, subject to the applicable policy.

Please note:

  • Some promotional or discounted items (including “Deal of the Day”) may be marked non-returnable or non-refundable; this will be clearly specified at the time of purchase.
  • Items offered under demo participation or third-party promotional listings may not fall under standard replacement or refund policies unless otherwise mentioned in the applicable policy.

Customer Responsibility

Before placing any order, customers should:

  • read the product description, specifications, and applicable return/refund terms; and
  • note that certain in-house or combo items offered under special campaigns may carry restrictions on return or exchange.
By completing a transaction, you confirm that you have reviewed and agreed to the return/refund conditions presented at checkout.

Third-Party Seller Transactions (3P Sales)

For transactions where Varthaali is not the seller/merchant of record:

  1. All commercial/contractual terms (price, shipping costs, payment method, delivery timelines, warranties, after-sales service) are offered by and agreed between buyers and sellers directly.
  2. Varthaali does not control, determine, or influence those terms.
  3. Varthaali makes no representation or warranty regarding the specifics of products/services (including quality, value, saleability, fitness for purpose, or legality).
  4. Varthaali is not responsible for non-performance or breach of contracts between buyers and sellers and is not required to mediate or resolve such disputes.
  5. Varthaali does not gain title to, rights in, or possession of products sold by third-party sellers at any time.
  6. The Website operates as an online platform facilitating communication and transactions; each sale constitutes a bipartite contract exclusively between the buyer and the seller.
  7. Buyers should independently verify the identity, creditworthiness, and legal title of sellers before transacting.
  8. Delivery, payment, shipping, insurance, warranties, and after-sales service are as agreed between you and the seller; Varthaali bears no liability arising from such independently agreed terms.
  9. By using the platform, you acknowledge that Varthaali acts as a neutral facilitator for third-party transactions and is not liable for third-party misrepresentations, non-performance, or disputes.

Third-Party Seller Transactions (3P Sales) / If Sellers

For transactions where Varthaali is not the seller/merchant of record:

  1. All commercial/contractual terms (price, shipping costs, payment methods, payment terms, delivery date, period and mode of delivery, warranties, and after-sales services) are offered and agreed directly between buyers and sellers. Varthaali does not control, determine, advise, or otherwise involve itself in such agreements.
  2. Varthaali makes no representation or warranty regarding product/service specifics (quality, value, salability, etc.) and does not endorse or support the sale/purchase of any products or services. Varthaali accepts no liability for any errors or omissions by sellers or users.
  3. Varthaali is not responsible for any non-performance or breach of contracts between buyers and sellers and is not required to mediate or resolve disputes.
  4. Varthaali does not make any representation or warranty regarding item-specifics, such as legal title, creditworthiness, or identity, of users. Buyers should independently verify sellers before transacting.
  5. Varthaali never takes possession of products/services offered by third-party sellers and does not acquire title, ownership, or claims over such products/services.
  6. Varthaali is not responsible for delays, damages, or performance failures due to out-of-stock, back-ordered, or unavailable products from third-party sellers.
  7. All transactions constitute a bipartite contract solely between the buyer and seller; Varthaali is not a party and bears no liability arising therefrom.
  8. Buyers must independently determine and agree on delivery, payment, shipping, insurance, warranties, and after-sales service with sellers. Varthaali is not liable for disputes from such independently agreed terms.
  9. Users acknowledge that Varthaali is a neutral facilitator for third-party transactions and shall not be held liable for third-party misrepresentations, non-performance, or disputes.
